Clause no. 1: Purpose
The general conditions of sale described below detail the rights and obligations of SARL LATITUDE WINE and its customer in connection with the sale of the following goods, namely all wines and objects sold by the company SARL LATITUDE WINE. Any service performed by SARL LATITUDE WINE therefore implies the buyer's unreserved adherence to these general conditions of sale.
Clause n° 2 : Price
SARL LATITUDE WINE reserves the right to modify its prices at any time. However, it undertakes to invoice the goods ordered at the prices indicated when the order is registered. The prices of Products are indicated in euros, inclusive of all taxes, and do not take into account delivery costs, invoiced in addition, and indicated before the validation of the order, packaging and processing of the order.
Clause no. 3: Offers
Promotional offers are valid for the period of validity they mention and as long as they are displayed on the Website, as well as within the limits of available stocks. Orders can only be accepted if the prices mentioned are in line with those of the current offer.
Clause no. 4: Payment terms
This is an order with a payment obligation, which means that placing the order implies payment by the Customer. To pay for the order, the customer may choose from the payment methods made available by SARL LATITUDE WINE and listed on the website, namely: by credit card; by bank transfer. The customer guarantees SARL LATITUDE WINE that he/she has the necessary authorizations to use the method of payment chosen when validating the order form. SARL LATITUDE WINE reserves the right to suspend any order and any delivery in the event of refusal of authorization of payment by credit card by the officially accredited organizations or in the event of non-payment. In particular, SARL LATITUDE WINE reserves the right to refuse to make a delivery or to honour an order from a customer who has not paid in full or in part for a previous order, or with whom a payment dispute is in progress. SARL LATITUDE WINE does not store any personal or financial information in its database when processing the Customer's payment.
Clause no. 5: Retention of title clause
SARL LATITUDE WINE retains ownership of the goods sold until full payment of the price, in principal and accessories. In this respect, if the purchaser is the subject of receivership or liquidation proceedings, SARL LATITUDE WINE reserves the right to claim, within the framework of the receivership proceedings, the goods sold and remaining unpaid.
Clause no. 6: Delivery
Delivery is constituted by the transfer to the Customer of physical possession or control of the Product. For each order, a fixed contribution to the costs of making the Product available is requested, which includes postage, packaging and order processing. The flat-rate charge is €1 (one euro) per bottle, including VAT, for all geographical areas within France. SARL LATITUDE WINE reserves the right to revise, at any time, the amount of the fixed contribution requested from its customer. SARL LATITUDE WINE also reserves the right to index the flat-rate contribution to the delivery method chosen by the customer at the time of placing the order and to invoice it by geographical area
Clause no. 7: Liability
The Products sold on the Website comply with the regulations in force in France. The Products supplied by SARL LATITUDE WINE benefit by operation of law and without additional payment, independently of the right of withdrawal: from the legal guarantee of conformity provided for in Articles L. 217-4 et seq. of the French Consumer Code, for Products apparently defective, spoiled or damaged or not corresponding to the order; from the legal guarantee against hidden defects provided for in Articles 1641 et seq. of the French Civil Code, arising from a defect in material, design or manufacture affecting the Products delivered and rendering them unfit for use. Article L. 217-4 of the French Consumer Code: "The seller delivers goods in conformity with the contract and is responsible for any defects in conformity existing at the time of delivery. He is also liable for defects in conformity resulting from the packaging, assembly instructions or installation when the latter has been made his responsibility by the contract or has been carried out under his responsibility." Article L. 217-5 of the French Consumer Code: "The good conforms to the contract: 1° If it is fit for the use usually expected of a similar good and, where applicable : if it corresponds to the description given by the seller and possesses the qualities that the latter has presented to the buyer in the form of a sample or model; if it has the qualities that a buyer may legitimately expect having regard to public statements made by the seller, by the producer or by his representative, particularly in advertising or labelling; 2° or if it has the characteristics defined by mutual agreement between the parties or is fit for any special purpose sought by the buyer, brought to the seller's attention and accepted by the latter. " Article L. 217-12 of the French Consumer Code: "Action resulting from a lack of conformity shall be barred after two years from the date of delivery of the goods." Article 1641 of the French Civil Code: "The seller is liable for any hidden defects in the item sold which render it unfit for its intended use, or which impair this use to such an extent that the buyer would not have purchased it, or would only have paid a lower price for it, had he been aware of them." Article 1648 of the Civil Code: "The action resulting from redhibitory defects must be brought by the purchaser within two years of the discovery of the defect. In order to assert his rights, the Customer must inform SARL LATITUDE WINE in writing of the non-conformity of the Products within a maximum period of two (2) years from the delivery of the Products, or of the existence of hidden defects within a maximum period of two (2) years from their discovery. The Customer may choose between repair or replacement of the goods, subject to the cost conditions set out in article L. 217-9 of the French Consumer Code. Shipping costs will be reimbursed on the basis of the invoiced rate, and return shipping costs will be reimbursed on presentation of receipts. Reimbursements for Products found to be non-conforming or defective will be made as soon as possible and at the latest within thirty (30) days of SARL LATITUDE WINE's discovery of the non-conformity or hidden defect. Reimbursement will be made by crediting the Customer's bank account or by cheque sent to the Customer. SARL LATITUDE WINE shall not be held liable in the following cases: failure to comply with the legislation of the country in which the Products are delivered, which it is the Customer's responsibility to check; in the event of misuse, use for professional purposes, negligence or lack of maintenance on the part of the Customer, as well as in the event of normal wear and tear of the Product, accident or force majeure. SARL LATITUDE WINE's warranty is, in any event, limited to the replacement or reimbursement of Products that do not conform or are affected by a defect.
Clause no. 8: Intellectual property
All trademarks, photographs, texts, comments, illustrations, animated or non-animated images, video sequences, sounds, as well as all computer applications that may be used on the website and more generally all elements reproduced or used on the site are protected by the laws in force under intellectual property. They are the full and complete property of SARL LATITUDE WINE or its partners. Any reproduction, representation, use or adaptation, in any form whatsoever, of all or part of these elements, including computer applications, without the prior written consent of SARL LATITUDE WINE, is strictly forbidden. SARL LATITUDE WINE's failure to take legal action immediately upon becoming aware of such unauthorized use does not constitute acceptance of said use and waiver of legal action. Any simple link or hypertext link is strictly prohibited without the express written consent of SARL LATITUDE WINE.

Clause no. 10: Pre-contractual information - Customer acceptance
The Customer acknowledges having been provided, prior to placing his/her order, in a legible and comprehensible manner, with the present General Terms and Conditions and all the information and details referred to in Articles L. 111-1 to L. 111-8 of the French Consumer Code, and in particular : the essential characteristics of the Product, taking into account the means of communication used and the Product concerned; the price of the Product and its ancillary costs; in the absence of immediate execution of the contract, the date or time by which SARL LATITUDE WINE undertakes to deliver the Product; information concerning the identity of SARL LATITUDE WINE, its postal, telephone and electronic contact details and its activities, insofar as they are not apparent from the context; information relating to legal guarantees and their implementation procedures; the functionalities of digital content and, where applicable, its interoperability; the possibility of resorting to conventional mediation in the event of a dispute; information relating to the right of withdrawal. The fact that an individual or a legal entity places an order on the Internet Site implies full acceptance of these general terms and conditions of sale and the obligation to pay for the Products ordered, which is expressly recognized by the Customer, who waives, in particular, the right to invoke any contradictory document, which would be unenforceable against SARL LATITUDE WINE.
Clause no. 11: Applicable law - Dispute resolution
Any dispute relating to the interpretation and execution of these general terms and conditions of sale is subject to French law. Failing amicable resolution, the dispute will be referred to the Commercial Court of Avignon. These general terms and conditions of sale and the transactions arising therefrom are governed by and subject to French law, to the exclusion of the Vienna Convention. In the event of a dispute or claim, the purchaser should first contact SARL LATITUDE WINE for an amicable solution. ALL DISPUTES ARISING OUT OF OR IN CONNECTION WITH THE PURCHASE OR SALE TRANSACTIONS ENTERED INTO PURSUANT TO THESE GENERAL TERMS AND CONDITIONS OF SALE, CONCERNING THEIR VALIDITY, INTERPRETATION, EXECUTION, TERMINATION, CONSEQUENCES AND CONSEQUENCES, AND WHICH CANNOT BE RESOLVED BETWEEN THE SELLER AND THE CUSTOMER, SHALL BE SUBMITTED TO THE COMPETENT COURTS UNDER THE CONDITIONS OF COMMON LAW. The Customer is hereby informed that he may in any event have recourse to conventional mediation, in particular with the Commission de la médiation de la consommation (Consumer Mediation Commission), in accordance with Article L. 612-1 of the French Consumer Code, or with the existing sector-specific mediation bodies whose references are given below, or to any alternative dispute resolution method (i.e. conciliation) in the event of a dispute.
